1. Acceptance of Terms

By accessing or using nexrn.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("User") and nexRN LLC ("Company," "we," "us," or "our").

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

nexRN is an online educational platform designed to help nursing students prepare for the NCLEX-RN licensure examination. The Service provides clinical reasoning practice questions, explanations, and study tools (collectively, the "Content").

Access to the Service is provided on a one-time, non-subscription basis for a period of ninety (90) days from the date of purchase.

3. Medical and Educational Disclaimer

Always seek the advice of qualified healthcare professionals regarding any medical questions or patient care decisions. Never disregard professional medical advice or delay seeking it because of something you read on nexrn.ai.

nexRN makes no representations or warranties that its Content reflects current clinical best practices, guidelines, or standards of care.

4. Account Registration

To access the Service, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and notifying us promptly of any unauthorized use.

You must be at least eighteen (18) years of age to create an account. Each account is for a single individual user — you may not share your account or credentials with others.

5. Payment Terms

Access to nexRN requires a one-time payment of $99.00 USD, which grants you ninety (90) days of access from the date of purchase ("Access Period"). This is a single, non-recurring charge — nexRN does not offer subscription plans.

All payments are processed securely through Stripe, Inc. By completing a purchase, you also agree to Stripe's Terms of Service and Privacy Policy. nexRN does not store your full payment card information.

Your Access Period begins upon successful payment confirmation and expires automatically at the end of ninety (90) days. Prices are subject to change and will not affect an Access Period already purchased.

6. Refund Policy

Due to the digital nature of the Service and the immediate access granted upon purchase, all sales are final. nexRN does not offer refunds, except as required by applicable law or as determined at our sole discretion.

If you believe there was a billing error, contact us at contact@nexrn.ai within seven (7) days of the charge.

7. Intellectual Property

All Content on nexrn.ai is the exclusive property of nexRN or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your own personal, non-commercial, educational purposes during your Access Period.

You may not copy, reproduce, distribute, sell, scrape, reverse engineer, or otherwise exploit any Content or the underlying software.

8. User Conduct

You agree not to use the Service for any unlawful purpose, attempt unauthorized access, interfere with the Service's integrity, impersonate any person or entity, or share your account credentials with others.

9. Termination

nexRN reserves the right to suspend or terminate your account at any time, with or without notice, if you have violated these Terms or engaged in conduct harmful to nexRN or other users. Sections 3, 7, 10, 11, 12, and 13 survive termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. nexRN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, nexRN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. nexRN'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless nexRN and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Service or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in such courts.

WAIVER OF CLASS ACTION: TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and nexRN regarding your use of the Service. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
